Seychelles company documents

Because of our links with the Seychelles Financial Services Authority (FSA) and because we are local to the Seychelles, we have the ability to request all information and copies of documents from incorporated IBC companies in the Seychelles directly from the FSA and to provide notarised copies of company documents as legalised company certificates.
Furthermore, we offer the possibility to provide all documents with a Hague Apostille by the Supreme Court of Seychelles, so that all documents are guaranteed to be recognized by any authority or bank worldwide according to the Hague Convention.

All documents are prepared by the Seychelles Financial Services Authority and sent to you by email within 2 - 5 days. Optionally we can also arrange for the documents to be sent via DHL Express Courier for you.

We can request the following documents for you via the FSA:

Certificate of Official Search (Search query and research of a company)
Certificate of Good Standing (Certificate of the state of a company)

FSA, the Seychelles Registry

The Seychelles Financial Services Authority (FSA) is the supervisory authority for non-banking financial services in Seychelles. It was established under the Seychelles Financial Services Authority Act and is responsible for the registration of International Business Companies (IBCs).

Seychelles company research

We can provide a company search on companies registered under the International Business Companies Act. This includes the following information from the Seychelles Financial Services Authority. When you request a company search or documents from an IBC, we require the company name and/or company number to request the documents from the FSA.

The companies Rearch in the Seychelles includes the following information:

Company name
Company registration number
Date of incorporation
The search report contains an extract from the Seychelles Financial Services Authority issued under the International Business Companies Act 2016 confirming the latest company details including company status.
Current legal status: Good standing or not
Authorised share capital
Company guarantee amount - if applicable
Number of outstanding fees registered by the company
Number of fulfilled and cancelled registered charges
Date and description of any registered mortgage or charge
Copy of the fee register - if available.
When charges are filed with the Registry, this is available and includes the IBC name, IBC roll, IBC address, date of registration, type, name of other party in mortgage/encumbrance, address, date of deed, amount secured, description of assets affected by deed, confirmation if cancelled
Address of the registered office
Name and address of the Registered Agent
Last payment date and due date of the next annual fees
The register of directors for Seychelles companies is not required to be filed with the Seychelles Registrar of International Companies in accordance with the requirements of the IBC Act 2016, this is held privately by the company and is therefore not available

The search report is issued by the Seychelles Financial Services Authority as a certificate of official search.

Domestic companies of Seychelles

Only ITCs are registered with the Financial Services Authority, there is a separate register for domestic Seychelles companies.

There company search extract is not available, the company search and documents available are also slightly different. If you need a domestic company search, we need the company name and number to have the company file checked.

Company records

A company in Seychelles must file its Memorandum and Articles of Association together with any amendments. Company records are kept by the company at its registered office in the Seychelles. Books and records must be kept for all companies but these do not have to be filed with the Seychelles Registry and are kept confidential. The Registry need only be notified of the address where the company's records are kept.

A register of directors for companies in Seychelles must be filed with the Seychelles Registrar of International Companies in accordance with the requirements of the IBC Act 2016, but this is kept private. The register of directors is therefore not publicly available.

Seychelles Clearance Certificate and Seychelles Seal of Approval

Offshore Seychelles can provide a Certificate of Good Standing for any Seychelles company (IBC)

We can have a Certificate of Good Standing issued by the Seychelles Financial Services Authority confirming that the company is in good standing.

The certificate attests to the following:

The company was duly incorporated under the International Business Act, 1994, 2016 and 2018.
The company is still registered on the Register of International Trading Companies and the company has paid all licence fees and penalties due under the provisions of the International Business Act , 1994, 2016 and 2018.
The Company has not filed with the Registry any Merger or Consolidation Article that has not yet become effective.
The Company has not submitted to the Registry any Article of Agreement that has not yet become effective.
The company is not in liquidation or dissolution.
No proceedings have been initiated to remove the name of the company from the said register.
As far as can be seen from the documents filed with the Registry, the Company is in good legal standing.
The certificate shall bear an official seal, stamp and signature of the Seychelles Financial Services Authority.

Under the Seychelles IBC Act, should there be an application for a certificate of good standing for a company that is not in good standing, a certificate of official search provided by the FSA in lieu of a certificate of good standing.

Seychelles Charter

The Certificate (COI) for the incorporation of a Seychelles Offshore Company

We can apply for a certified original copy of the Certificate of Incorporation (COI) for an IBC company registered in the Seychelles, under the International Business Companies Act, from the FSA on your behalf and send it by email or optionally by DHL Express Courier provide.

Restoration of a Seychelles Company (IBC)

If a company in Seychelles has been struck off by the Register, a director or shareholder of the company may apply to have the company restored.

In order to restore the company, all outstanding annual licence fees and late payment penalties would need to be paid to the Seychelles Financial Services Authority. Once the company is restored, we can apply for a certificate of good standing for Seychelles IBC from the Registry.

Seychelles documents with an apostille

The Apostille is a certificate attached to the company document that certifies the authenticity of the signature and stamp of the register. In Seychelles, company documents are thus legalized and receive the Apostille stamp from the authorized representative of the Supreme Court of Seychelles.

For companies incorporated in Seychelles, there are several notary offices in Seychelles. Company documents are notarised by the Registry and at the Notaries and are apostilled by the Seychelles Supreme Court. This is an additional service.
