Is a company secretary required?

The International Business Companies Act 2016 of Seychelles (as amended from time to time) does not require the appointment of a company secretary. It is therefore entirely voluntary.

It is common for intermediaries in other jurisdictions to offer this service and in practice often act as company secretary. Documents, including accounting records, are also kept on site. It may be convenient for the end client if the company secretary of the company is closer to them.

As your representative, we often optionally perform some of the secretarial duties of the offshore company (IBC), but are not initially an officially appointed company secretary. We are nevertheless happy to draft most resolutions and other simple documents for you, including where appropriate notarial prepare, and we shall be glad to assist the Secretary of the Foreign Society if one of you is appointed.
